Agency Wholesale Agreement
This Agency Wholesale Agreement (the "Agreement") is between Premium Lane LLC ("MIUUM," "we," "us") and the travel agency, tour operator, or concierge business that applies to and is approved for the MIUUM Agency Wholesale Program (the "Agency," "you"). By submitting an application and by booking through the agency portal after approval, you agree to these terms.
1.The program
The Agency Wholesale Program lets approved agencies book chauffeured ground transportation from MIUUM at a wholesale rate and resell that transportation to their own passengers. Approval is at MIUUM's discretion and may be declined or revoked as described in Section 10.
2.The rate
- Approved agencies receive a flat 15% discount off MIUUM's retail price on every ride booked through the agency portal.
- The discount applies from your first booking. There is no tier to unlock and no volume requirement, and the rate does not increase or decrease with volume.
- MIUUM sets retail prices and may change them. Your wholesale rate is always calculated from the retail price in effect at the time of booking. Rides already booked are honored at their booked rate.
3.Payment
- The agency card on file is charged the wholesale (net) rate automatically at the time of booking. No invoices are issued and no balance accrues.
- You are responsible for keeping a valid payment method on file. A booking cannot be completed if the card is declined.
- Card payments are processed by Stripe. MIUUM does not store full card numbers.
4.Resale and your margin
- The price you charge your own passenger is entirely your decision. You may resell at retail, above it, or below it, and the spread is yours either way.
- MIUUM never bills your passenger and never markets to your passenger for the rides you book.
- You sell transportation supplied by MIUUM. You may describe the service accurately, including vehicle class, coverage area, and inclusions, but you may not describe yourself as operating the vehicles, employing the chauffeurs, or holding MIUUM's operating authority.
- You are responsible for your own passenger-facing terms, receipts, refunds, and customer service on the resale side of the transaction.
5.No fees, no minimums
There is no joining fee, no monthly fee, and no minimum booking volume. MIUUM does not guarantee any level of vehicle availability or demand.
6.Changes and cancellations
- Trip changes and cancellations are handled by our dispatch team. Contact us and we will sort it.
- MIUUM's standard cancellation windows and charges apply to wholesale bookings, calculated on the wholesale rate you were charged. The current schedule is published in our Policies and Fees.
- Where a charge applies, it is charged to the card on file. What you refund your own passenger is your decision and your cost.
- No-shows, capacity failures, and unrequested child-seat situations follow the same published policy as retail bookings.
7.One account per agency
- Each agency operates a single wholesale account. Staff seats can be arranged on that account.
- The tariff is not transferable. You may not share portal access, your rate, or your account with another company, or book on behalf of an agency that has not been approved in its own right.
- You are responsible for everything done under your account, including by your staff.
8.Service standard
Every ride is a licensed, insured, chauffeur-driven black vehicle from our approved fleet: the same standard our retail clients receive. MIUUM is solely responsible for operating the ride and for the conduct of the chauffeur.
9.Passenger data
- You will give MIUUM only the passenger information needed to operate the ride, and you confirm you have the right to share it.
- MIUUM uses that information to perform the transportation and handles it as described in our Privacy Policy.
- Booking and pricing details visible in your portal are confidential to your agency.
10.Good standing, suspension, and termination
- This Agreement starts on approval and continues until ended by either party. You may leave at any time by emailing support@premiumlane.net.
- Accounts used fraudulently, shared with other companies, or with repeatedly failing payment methods may be suspended or terminated.
- MIUUM may modify or end the program with reasonable notice. Rides already booked are always honored at their booked rate.
- On termination, portal access ends and any already-booked rides are completed and charged as booked.
11.Disclaimers, liability, and indemnification
The program and portal are provided "as is." To the maximum extent allowed by law, MIUUM will not be liable to you for indirect, incidental, consequential, or punitive damages, or for lost profits or lost resale margin, arising out of the program; and MIUUM's total liability to you for any ride is limited to the wholesale amount you were charged for that ride. You will indemnify and hold MIUUM harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your resale terms, your representations to your passengers, or your breach of this Agreement. Nothing in this section limits liability that cannot be limited by law.
12.Changes to this Agreement
We may update this Agreement from time to time. Material changes will be announced by email to the address on your account and in the portal at least 14 days before they take effect. Continuing to book after a change takes effect constitutes acceptance.
13.General
The program is operated by Premium Lane LLC and this Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida. This Agreement, together with the Privacy Policy and the published Policies and Fees, is the entire agreement between you and MIUUM about the program. If any provision is found unenforceable, the rest remains in effect. You may not assign this Agreement without our written consent.
